Description
Our client, a prestigious AM Law 100 firm, is seeking a mid-level corporate associate to join its securities group, with the position open for placement in Washington, DC or Atlanta. This is an opportunity to work within a broad practice platform that provides individual client attention, regardless of office location. The successful candidate will join a team that represents private and public companies in diverse business transactions including initial public offerings, mergers, asset purchases, and debt financings. Furthermore, the role requires serving as outside general counsel to public company clients, guiding management and the board on public company reporting requirements, corporate governance, compliance, and other ongoing business growth matters. Candidates should have 3-5 years of experience in a large law firm, specializing in public company securities transactions and reporting requirements, including a solid understanding of the '33 and '34 Acts. Strong skills in reviewing and preparing SEC filings, advising clients on reporting and compliance obligations, excellent academic credentials, and robust writing, analytical, and communication abilities are essential.
