Our client is seeking a Mid-Level Associate to join their corporate M&A group in Palo Alto, CA, with a focus on technology transactions. The role involves representing clients in mergers, acquisitions, financing, restructuring, and other commercial matters. Candidates must hold a Juris Doctor degree or equivalent and have at least two years of experience in domestic and cross-border transactions, including stock and asset purchases, investments, and securities offerings. Responsibilities include reviewing and drafting corporate contracts, conducting change of control analyses, preparing diligence reports, and conducting legal research using platforms like Westlaw and Lexis Nexis. The candidate should be proficient in preparing SEC forms and conducting due diligence with AI tools. Admission to practice law in California is required, and telecommuting may be an option.
