Description
Our client, a global law firm, is seeking a Mid-Level Associate for their Capital Markets Group based in New York. This is a full-time position in a firm consistently ranked among the top in the Am Law Global 100. The ideal candidate will have 3-4 years of experience in public and private equity offerings, including initial public offerings and follow-on offerings, proxy statements and S-4 registration statements in connection with business combination transactions. Familiarity with the SEC and other regulators, and the ongoing reporting requirements under the '34 Act for public companies, including 10-Ks, 10-Qs, and 8-Ks, is essential. Candidates should have experience in both representing issuers and underwriters, as well as day-to-day experience counseling public companies, particularly on corporate governance matters. Strong academic background, client management skills, and drafting and negotiation skills are key requirements. Candidates must be admitted to the New York bar.
