Description
Our client is seeking a qualified professional to supervise junior associates in preparing due diligence memos, reviewing subscription documents, marketing materials, and other documents related to distribution deals and fund formation for banks and private equity funds. The role involves drafting placement agent agreements, limited partnership agreements, private placement memorandums, and side letters for distribution deals, fundraises, or GP-led secondaries for private equity and venture capital firms. The candidate will advise banks and investment management firms on limited partnership agreement comments, draft side letters, and provide guidance on day-to-day fund operations for private equity clients. Responsibilities include reviewing fund documents, drafting fund summaries and issues lists, and overseeing the closing and post-closing process of distribution deals and fundraises. Requirements include a Juris Doctor (J.D.) or Master of Laws (LL.M.) and two years of relevant experience, including reviewing and analyzing fund documents, preparing legal due diligence reports, advising on fund operations, and managing fund formation projects.
