Description
Our client is seeking a midlevel Corporate Associate to join their Seattle office. The ideal candidate will have four to six years of relevant experience in M&A and corporate transactions, including drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, and related documents. Experience with private equity transactions and familiarity with R&W insurance is a plus. The role involves preparing transaction documents for private capital financing, such as venture capital and angel capital equity financing, convertible debt, and SAFE financing transactions, along with related securities law analysis. Candidates should have experience in drafting limited liability company operating agreements, partnership agreements, and other joint venture agreements, as well as substantial responsibility for closing M&A and private financing transactions. The position requires coordinating and managing due diligence reviews and advising clients on general corporate matters. Strong academic credentials and the ability to work independently and as part of a team are essential.
