CORPORATE M&A ASSOCIATE (3803)
Description
Our client is seeking a smart, imaginative, and hard-working midlevel associate to join their Corporate M&A team in a dynamic office environment. The ideal candidate will possess three to five years of Corporate M&A experience, with a preference for those with private equity transaction experience. Key responsibilities include drafting, reviewing, and negotiating merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related agreements. Additional expertise in partnership agreements, joint ventures, and limited liability company operating agreements is desired. Candidates should have substantial responsibility for closing M&A and related transactions, conducting due diligence reviews, and advising clients on general corporate/entity matters. Experience with the Representation and Warranty Insurance underwriting process is also beneficial.
