Description
Our client is seeking a mid-level associate with 4-6 years of significant experience in private equity fund formation and related matters for their Chicago office. The ideal candidate should have a background in assisting private equity fund sponsors with fund formation, including preparing and negotiating private placement memoranda, partnership agreements, and related documents. Experience in reviewing fund documentation for institutional investors, negotiating fund terms, and structuring governing documents for fund management companies and general partners is essential. A working knowledge of relevant securities rules and regulations, including the Investment Advisers Act, is required. Experience with private equity secondary transactions and GP-led restructurings is advantageous. Candidates must be admitted to the state bar of their office location. Diversity is highly valued.
