INVESTMENT FUNDS ASSOCIATE (2688)
Description
Our client is seeking an associate with 4-6 years of significant experience in private equity fund formation and related matters. The ideal candidate should have experience, preferably at a large law firm or in-house setting, in assisting private equity fund sponsors with fund formation, including preparing and negotiating private placement memoranda, partnership agreements, and related documents. Additional responsibilities include reviewing fund documentation for institutional investors, negotiating fund terms, and structuring governing documents for fund management companies and general partners. A working knowledge of relevant securities rules and regulations, including the Investment Advisers Act, is required. Experience with private equity secondary transactions and GP-led restructurings is advantageous. Positions are available in Chicago, Charlotte, New York, and other office locations, with candidates required to be admitted to the state bar of their office location.
