Description
Our client is seeking a Mid-Level Associate to join their Securities and Capital Markets Group, focusing on advising public company clients on disclosure obligations under federal securities laws, compliance with listing standards, SEC interactions, and corporate governance. The ideal candidate will have a minimum of four years of experience in public company advisory work, including drafting and reviewing Exchange Act filings such as Forms 10-K, 10-Q, 8-K, and proxy statements. A strong familiarity with major US exchange listing standards and an understanding of executive and director compensation principles are essential. The role involves advising on corporate governance and board management, representing clients across various industries and geographies. Candidates must have law firm experience, be admitted to practice law, and be in good standing in the relevant jurisdiction.
